General Terms and Conditions

These General Terms and Conditions (GTC) govern the use of the platform greenkeeper.eco and the business relationships between greenkeeper GmbH and its users (companies and forest owners).

§1 Scope

The offer is aimed primarily at entrepreneurs (§ 14 BGB) and forestry operations. Deviating conditions of the user are not recognized unless greenkeeper expressly agrees to their validity in writing.

§2 Subject of Performance

greenkeeper provides a platform that brings together forest owners (providers of ecosystem services) and companies (buyers of certificates). greenkeeper undertakes the certification, monitoring, and tokenization of the forest areas.

§3 Registration

Use of the platform requires registration. The user is obliged to provide truthful information. There is no legal entitlement to registration.

§4 Duties for Forest Owners

Forest owners assure that they are authorized to dispose of the registered areas. They undertake to manage the forest areas in accordance with the agreed standards (e.g., prohibition of clear-cutting). Violations can lead to exclusion and the reversal of certificates.

§5 Acquisition of Certificates

Companies can purchase CO2 certificates (tokens). These represent a physical sink performance. The trading of these tokens on the secondary market is subject to separate regulations.

§6 Liability

greenkeeper is liable without limitation for intent and gross negligence. In cases of slight negligence, greenkeeper is only liable for the breach of essential contractual obligations. Liability for the physical existence of the forest is secured as best as possible by satellite-supported monitoring; however, force majeure (e.g., forest fire) is subject to general risk.

§7 Final Provisions

The law of the Federal Republic of Germany applies. The place of jurisdiction is Munich, provided the user is a merchant.
